Express and prior acceptance of the Terms as a whole, evidenced by the creation of an account or the placing of an order, is a condition of access to the paid services.\u003C\/p\u003E\u003Cp\u003EThese Terms apply to both individual customers and professional customers. Cel Society\u0027s editorial activity\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003ECel Society is an independent editorial publication devoted to production animation art, both Japanese and Western. Its scope covers the full range of production documents: cels, douga, genga, background paintings, layouts, colour models, sericels and related material. It takes two forms:\u003C\/p\u003E\u003Cul\u003E\u003Cli\u003ECS Insights: analyses of lots commissioned by a submitter, with the award of a CS Score and a CS Grade. A paid service governed by Articles 5 to 10 and 13.\u003C\/li\u003E\u003Cli\u003EThe Cel Society Journal: Cel Society\u0027s own editorial output (news, features, market analyses, profiles, interviews), freely accessible and governed by Article 11.\u003C\/li\u003E\u003C\/ul\u003E\u003Cp\u003ETwo categories of customer are distinguished for CS Insights:\u003C\/p\u003E\u003Cul\u003E\u003Cli\u003EIndividual customers: collectors who are natural persons acting for purposes outside their trade, business or profession. They benefit from the provisions of the French Consumer Code and from the private-use rights regime set out in Article 13.\u003C\/li\u003E\u003Cli\u003EProfessional customers: auction houses, galleries, dealers, experts and any person acting in a professional capacity. They benefit from the commercial licence defined in Article 13 and may not rely on the consumer-protection provisions of these Terms.\u003C\/li\u003E\u003C\/ul\u003E\u003Cp\u003EThe capacity declared by the customer at the time of ordering determines the applicable price and the scope of the rights granted. Any inaccurate declaration falls under Article 15.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E3. Editorial independence\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003ECel Society is an \u003Cstrong\u003Eeditorially independent\u003C\/strong\u003E publication. It is not an auction house, a dealer, a broker, or an expert instructed to appraise market value.\u003C\/p\u003E\u003Cp\u003EThe fee received for a CS Insight remunerates the work of analysis, research and production of the deliverable, never its outcome: no score, grade or conclusion may be commissioned, negotiated or influenced by the submitter. Cel Society prohibits itself from receiving any remuneration, commission or benefit correlated with the value of a transaction involving an analysed lot. No commercial relationship with an auction house, dealer, studio or collector may influence the scoring.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E4. Editorial responsibility\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003ECS Insights and Journal content are produced under the editorial responsibility of the Cel Society editorial desk. The internal organisation of work and the allocation of files are matters for Cel Society alone; the submitter has no right of oversight over these matters.\u003C\/p\u003E\u003Cp\u003EThe deliverable binds Cel Society as an editorial entity. It is signed in the name of the brand.\u003C\/p\u003E\u003Cp\u003ECel Society may use artificial intelligence tools within its production chain for documentary research, verification or drafting assistance. All published conclusions remain validated by the editorial desk, which alone bears editorial responsibility for them.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E5. Submission of lots\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003EBy submitting a lot, you declare on your honour that you fall within one of the following situations: you are the owner of the lot; you are acting with the owner\u0027s express authorisation; or you are a prospective buyer of a lot publicly offered for sale, at auction, in a gallery, on a marketplace or by a private seller. You further declare that the lot is not the subject of any dispute, and you undertake to disclose any information liable to affect the analysis, in particular an imminent sale, a current mandate, or any personal or professional connection with an auction house involved with the lot.\u003C\/p\u003E\u003Cp\u003EWhere the submitter acts as a prospective buyer, the analysis is carried out on the basis of the images and information published by the seller, whose source Cel Society credits. The submitter warrants that those materials are publicly accessible and grants no licence over images they do not hold. Cel Society remains sole judge of whether that documentation is sufficient in the light of its editorial standards.\u003C\/p\u003E\u003Cp\u003EYou shall provide accurate information and documentation that is as complete as possible. Cel Society accepts no liability for the consequences of incomplete, inaccurate or misleading information. Cel Society \u003Cstrong\u003Edoes not certify the authenticity\u003C\/strong\u003E of lots: responsibility for a lot subsequently found not to be authentic lies entirely with the submitter, with no right to a refund.\u003C\/p\u003E\u003Cp\u003ECel Society reserves the right to \u003Cstrong\u003Erefuse any order\u003C\/strong\u003E, at its sole discretion and without any obligation to give reasons, in particular where there is doubt as to ownership of the lot or as to the material provided, where the photographic documentation is insufficient or illegible, or where the lot falls within a category outside the editorial scope (reproductions, sericels without documented numbering, lots without verifiable provenance, and more generally any document that the editorial desk considers it cannot analyse in accordance with its standards). Under professional formulas, the selection of the lots actually analysed from among those proposed by the customer is a matter for Cel Society\u0027s editorial judgement.\u003C\/p\u003E\u003Cp\u003EAny refusal, whether before or after acceptance of the order, gives rise to a \u003Cstrong\u003Efull refund\u003C\/strong\u003E of the corresponding sums or to restoration of the credit, to the exclusion of any other compensation.\u003C\/p\u003E\u003Cp\u003EBy submitting photographs over which they hold the rights, the submitter grants Cel Society a non-exclusive, worldwide, royalty-free licence, transferable to its technical service providers, covering the use, reproduction, adaptation and communication to the public of those images, for the purposes of producing the insight and of editorial or promotional communication (Platform, official social media accounts, newsletters). This licence is granted for the duration of the exploitation of the corpus and remains valid after publication, in accordance with Article 7.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E6. Analysis process and deliverable\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003EThe analysis is carried out on the basis of the photographs and documents supplied by the submitter, or at a meeting agreed between the parties. There is no requirement to send the lot physically.\u003C\/p\u003E\u003Cp\u003EThe CS Score and the CS Grade relate exclusively to the \u003Cstrong\u003Eintrinsic and permanent properties\u003C\/strong\u003E of the document: significance of the subject, formal quality of the image, and configuration of the lot. Physical condition, rarity and market data never enter into the calculation.\u003C\/p\u003E\u003Cp\u003EThe deliverable consists of the \u003Cstrong\u003Epublication of the insight on the Platform\u003C\/strong\u003E, comprising the full analytical text, the CS Score, the CS Grade and the scoring table. No document is supplied in any other form. The service is deemed performed on the date the insight is published online.\u003C\/p\u003E\u003Cp\u003EThe submitter is notified of publication by email to the address provided at the time of ordering, together with a link to the published page. It is for the submitter to retain a copy should they wish to do so.\u003C\/p\u003E\u003Cp\u003EThe indicative publication period is \u003Cstrong\u003Ethirty (30) days\u003C\/strong\u003E from receipt of both payment and complete documentary material. For orders covering several lots, this period applies to the whole set of analyses ordered. Where in-depth research is required, this period may be extended, and the submitter will be informed as soon as possible.\u003C\/p\u003E\u003Cp\u003EIf publication has not taken place within \u003Cstrong\u003Esixty (60) days\u003C\/strong\u003E of receipt of both payment and complete documentary material, and save in cases of force majeure or exceptional documentary complexity of which you have been informed, you may request a full refund of the submission concerned.\u003C\/p\u003E\u003Cp\u003E\u003Cstrong\u003EProfessional orders tied to a sale.\u003C\/strong\u003E Where a professional order covers lots offered in a sale the date of which is known, Cel Society undertakes to publish the insights concerned before the opening of bidding, provided it has received payment and the complete documentary material no later than fifteen (15) working days before that date. The publication schedule is agreed between the parties at the time of ordering. If Cel Society fails to meet that undertaking for a given lot although that time condition was satisfied, the corresponding credit is restored or refunded, to the exclusion of any other compensation. The periods set out in the two preceding paragraphs continue to apply to professional orders not tied to a dated sale.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E7. Publication of insights\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003EEvery CS Insight ordered is \u003Cstrong\u003Epublished on the Platform\u003C\/strong\u003E. Publication is systematic and constitutes an essential and determining condition of the service: it feeds the Cel Society reference corpus, the building of which is the very purpose of the editorial project. By placing an order, the submitter expressly accepts this principle and acknowledges that the service cannot be provided on any other basis.\u003C\/p\u003E\u003Cp\u003EPublication extends to the Platform, Cel Society\u0027s official social media accounts, its newsletters and any editorial or promotional communication. It may take the form of the full insight, of extracts, or of a version adapted to the constraints of each medium. The publication schedule is a matter for the editorial desk alone.\u003C\/p\u003E\u003Cp\u003EThe published insight identifies the lot analysed, its documented provenance and, where applicable, the auction house concerned. The identity of the submitter is never published, save at the submitter\u0027s express request.\u003C\/p\u003E\u003Cp\u003EOrders placed at the professional rate include, in addition to the analysis, \u003Cstrong\u003Epromotional features\u003C\/strong\u003E for the customer: identification of the auction house or gallery on the published page, together with the title and date of the sale and a link to the catalogue; a link to the seller\u0027s lot listing; visual identification of the lot\u0027s professional origin in the catalogue and on the page; priority display until the date of the sale; and relaying on Cel Society\u0027s official accounts with credit to the customer. These features constitute a visibility service, distinct from the analysis, the content and score of which remain governed by Articles 3 and 6.\u003C\/p\u003E\u003Cp\u003ENo confidentiality option is offered. No withdrawal request based solely on the submitter\u0027s wishes may be granted after an order has been placed. Only the cases set out in Article 12, namely correction of a factual error and withdrawal for demonstrated lack of authenticity, may lead to the amendment or withdrawal of a published insight.\u003C\/p\u003E\u003Cp\u003ECel Society reserves the right to use published insights, scores and grades for editorial, statistical and communication purposes, including in aggregated, comparative or historical form.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E8. Prices and VAT\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003EThe applicable prices are those in force at the time of the order. Any change in prices has no effect on orders already placed or credits already acquired.\u003C\/p\u003E\u003Cul\u003E\u003Cli\u003EIndividual customers: prices are displayed inclusive of all taxes, including French VAT at the applicable rate.\u003C\/li\u003E\u003Cli\u003EProfessional customers established in France: prices are displayed exclusive of tax, French VAT at the applicable rate being added to the stated amount.\u003C\/li\u003E\u003Cli\u003EProfessional customers established in another Member State of the European Union: the invoice is issued without VAT under the reverse-charge mechanism, subject to the provision of a valid intra-Community VAT number verified at the time of ordering.\u003C\/li\u003E\u003Cli\u003ECustomers established outside the European Union: the service falls outside the scope of French VAT.\u003C\/li\u003E\u003C\/ul\u003E\u003Cp\u003EA compliant invoice is issued for each order and transmitted electronically.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E9. Payment and right of withdrawal\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003EPayment is due before performance of the service. Accepted means of payment are specified at the time of ordering. On submission, the order amount is subject to a bank authorisation without immediate debit. Cel Society reviews the material supplied and then captures payment at the point at which it accepts the order. Where an order is refused under Article 5, the authorisation is released and no sum is taken. The order becomes firm only upon that capture.\u003C\/p\u003E\u003Cp\u003EIn accordance with Article L.221-28 1\u00b0 of the French Consumer Code, a consumer who expressly requests performance of the service before the expiry of the fourteen (14) day withdrawal period \u003Cstrong\u003Ewaives the right of withdrawal\u003C\/strong\u003E upon full performance of that service. This request for immediate performance and this waiver are the subject of express consent, given separately from acceptance of these Terms, and collected at the time of ordering.\u003C\/p\u003E\u003Cp\u003EIn the absence of such consent, the consumer retains the right of withdrawal for fourteen days from the conclusion of the contract, performance of the service beginning only on expiry of that period.\u003C\/p\u003E\u003Cp\u003EIn the event of a payment dispute raised with the customer\u0027s bank, Cel Society reserves the right to suspend immediately any service in progress and to withdraw the corresponding insights from the Platform until the dispute is resolved.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E10. Submission credits\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003ECredits acquired as part of a pack are \u003Cstrong\u003Enot subject to any expiry date\u003C\/strong\u003E. They remain usable without time limit, at the submitter\u0027s own pace, for as long as the service is operated. The price applicable to each submission is the price in force at the time the pack was purchased.\u003C\/p\u003E\u003Cp\u003ECredits are personal and non-transferable. They may not be refunded in cash, except in the cases of refused orders under Article 5 or of failure to publish under Article 6.\u003C\/p\u003E\u003Cp\u003EProfessional subscription formulas may include, in addition to credits, visibility services granted for a fixed term: partner status, priority display, and relaying on the official accounts. Those services end on expiry of the subscribed period, without affecting the credits acquired, which remain usable without time limit.\u003C\/p\u003E\u003Cp\u003EIn the event that the Cel Society business is transferred to another natural or legal person, in particular by contribution, assignment or change of legal form, these Terms and any outstanding credits are transferred by operation of law to the entity substituted for Cel Society, which shall perform them on the same conditions.\u003C\/p\u003E\u003Cp\u003EIn the event of permanent cessation of the business, Cel Society shall inform holders of unused credits at least three (3) months in advance and shall refund the residual value of those credits, calculated at the unit price paid.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E11. Cel Society Journal\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003EThe Cel Society Journal comprises all freely accessible editorial content published on the Platform: news, features, market analyses, profiles and interviews. This content is produced on Cel Society\u0027s own initiative in the exercise of its editorial freedom and does not constitute a service provided for the benefit of a third party: neither the right of withdrawal nor the provisions of Articles 5 to 10 apply to it.\u003C\/p\u003E\u003Cp\u003EAny natural or legal person named in Journal content who considers themselves directly and personally implicated has a \u003Cstrong\u003Eright of reply\u003C\/strong\u003E and a right to factual correction, to be exercised in writing to contact@celsociety.com. Cel Society examines such requests in good faith and responds within the applicable legal time limits.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E12. Accuracy and corrections\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003EAny factual error in a CS Insight may be reported to contact@celsociety.com. Where an error is confirmed, Cel Society updates the published page and informs the submitter. Corrections are a matter for its sole editorial judgement and give rise to no right to a refund.\u003C\/p\u003E\u003Cp\u003EIf probative evidence demonstrates that a published lot is not authentic, the corresponding insight is withdrawn from the Platform. Such withdrawal gives rise to no right to a refund and does not release the submitter from liability under Article 5.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E13. Intellectual property and rights of use\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003EThe \u0022Cel Society\u0022 trade mark is registered with the INPI under national number 5243300. Any unauthorised use engages the liability of its author under Articles L.713-1 et seq. of the French Intellectual Property Code.\u003C\/p\u003E\u003Cp\u003EAll content published on the Platform, namely CS Insights, Journal content, CS Scores, CS Grades, analytical justifications, the Setup table, the weightings, the scoring methodology and the visual identity, is the exclusive property of Cel Society and protected by copyright. The CS methodology, an original and confidential body of know-how, may not be reproduced, imitated or exploited, in whole or in part, without prior written authorisation.\u003C\/p\u003E\u003Cp\u003E\u003Cstrong\u003E13.1 Rights of individual customers (private use)\u003C\/strong\u003E\u003C\/p\u003E\u003Cp\u003EAn individual customer who has paid for the service in full holds, in respect of the insight concerning them, a personal, non-exclusive and non-transferable right of use. They may consult it, retain a copy for their own use and share the link with third parties for information purposes, in particular to a prospective buyer, an expert or an auction house.\u003C\/p\u003E\u003Cp\u003EThe following are excluded from that right: public reproduction in full, modification, incorporation into a third-party publication, use in a commercial or promotional context, and any exploitation of the methodology. Any public citation of the CS Score or CS Grade must credit Cel Society as the source.\u003C\/p\u003E\u003Cp\u003E\u003Cstrong\u003E13.2 Rights of professional customers (commercial licence)\u003C\/strong\u003E\u003C\/p\u003E\u003Cp\u003EA professional customer who has paid in full at the professional rate holds, in addition to the rights set out in 13.1, a non-exclusive, worldwide licence for the duration of the rights, authorising them to reproduce and communicate to the public the insight, the CS Score and the CS Grade on their own commercial materials: lot listings, sale catalogues, websites, communication materials and documents supplied to purchasers.\u003C\/p\u003E\u003Cp\u003EThis licence is strictly limited to the lots covered by the analysis ordered. It is non-assignable and may not be sub-licensed. Any reproduction must be faithful, without alteration of the content or of the score, and must legibly credit \u0022Source: Cel Society\u0022 together with a link to the insight published on the Platform where the medium allows.\u003C\/p\u003E\u003Cp\u003E\u003Cstrong\u003EScore cards.\u003C\/strong\u003E Score cards are visual assets produced and published by Cel Society on its official accounts. They are not supplied as files. The professional customer is authorised to relay and reshare them from those publications. Reproduction by screenshot, re-hosting of the visual and any modification whatsoever are prohibited. This restriction guarantees the integrity of the scoring and prevents any altered version from circulating.\u003C\/p\u003E\u003Cp\u003EPurchase of an insight at the individual rate confers none of the rights defined in 13.2 above. Commercial use of an insight acquired at the individual rate constitutes infringement and gives rise, in addition to remedies under the general law, to invoicing of the difference in price.\u003C\/p\u003E\u003Cp\u003ECel Society claims no proprietary right over the lots submitted or cited, which remain the property of their holders.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E14. Database protection\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003EThe database built by Cel Society, comprising all insights, scores, grades, sale data and associated metadata, results from a substantial investment in human, material and financial resources. It is protected as such by the sui generis right of the database producer under Articles L.341-1 et seq. of the French Intellectual Property Code.\u003C\/p\u003E\u003Cp\u003EThe following are prohibited: any extraction, by permanent or temporary transfer, of all or of a qualitatively or quantitatively substantial part of the contents of the database, and any re-utilisation by making available to the public of all or part of those contents. Repeated and systematic extraction or re-utilisation of insubstantial parts is likewise prohibited.\u003C\/p\u003E\u003Cp\u003EAny automated extraction of content, in particular by scraping, crawling, harvesting or any equivalent process, as well as any automated access to the Platform by means of unauthorised robots, scripts or programmatic interfaces, is prohibited without the prior written authorisation of Cel Society.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E15. Suspension and termination\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003ECel Society reserves the right to suspend or close access to its services, without notice or refund, in the event of abusive conduct, fraudulent submission, false declaration as to ownership of a lot or as to professional status, manifestly unfounded payment dispute, unauthorised extraction of the database, or breach of these Terms.\u003C\/p\u003E\u003Ch2\u003E\u003Cstrong\u003E16. Personal data and cookies\u003C\/strong\u003E\u003C\/h2\u003E\u003Cp\u003ECel Society processes personal data in accordance with Regulation (EU) 2016\/679 and the French Data Protection Act. Data collected at the time of submission is used exclusively for the purposes of the service and is never transferred to third parties for commercial purposes.\u003C\/p\u003E\u003Cp\u003EContractual data and invoices are retained for \u003Cstrong\u003Eten (10) years\u003C\/strong\u003E from the conclusion of the contract, in accordance with Article L.213-1 of the French Consumer Code and applicable accounting obligations.\u003C\/p\u003E\u003Cp\u003EYou have the right to access, rectify, erase, restrict, object to and port your data, to be exercised by writing to contact@celsociety.com.
